These Terms and Conditions govern the services provided by Ana Paiva, trading as copenicker . studio ("the Studio"), to clients ("the Client"). By engaging the Studio's services, the Client agrees to these terms.

1. Services

The Studio provides UI/UX design, illustration, brand strategy, and consulting services. The scope of each project is defined in a written proposal or statement of work agreed upon by both parties prior to commencement.

2. Proposals & Agreements

All proposals are valid for 30 days from the date of issue. A project begins upon written confirmation and receipt of the agreed deposit. Verbal agreements are not binding.

3. Payment

  • A deposit of 50% is required before work begins on any project.
  • The remaining balance is due upon project completion and before final files are delivered.
  • Ongoing retainer work is invoiced monthly, payable within 14 days of invoice date.
  • Late payments may incur interest at 3% per month after the due date.

4. Revisions

Each project includes a defined number of revision rounds as specified in the proposal. Additional revisions beyond the agreed scope will be billed at the Studio's current hourly rate.

5. Timelines

Estimated timelines are provided in good faith. Delays caused by the Client — including late feedback, missing content, or approval delays — may result in rescheduling and revised delivery dates.

6. Client Responsibilities

The Client agrees to:

  • Provide all required content, assets, and access in a timely manner.
  • Ensure they hold rights to any materials submitted to the Studio.
  • Designate a single point of contact for feedback and approvals.
  • Provide clear and consolidated feedback within agreed timeframes.

7. Intellectual Property

All work created by the Studio remains the intellectual property of the Studio until full payment is received. Upon receipt of final payment, the Client is granted a full licence to use the delivered work for its intended purpose. The Studio retains the right to display completed work in its portfolio unless otherwise agreed in writing.

8. Confidentiality

The Studio treats all client information as confidential and will not share it with third parties without prior written consent, except where required by law.

9. Cancellation

  • If the Client cancels a project after work has begun, the deposit is non-refundable.
  • Work completed up to the cancellation date will be invoiced at the agreed rate.
  • The Studio reserves the right to cancel a project if the Client fails to respond for more than 30 days, retaining all fees paid.

10. Limitation of Liability

The Studio's total liability for any claim arising from a project shall not exceed the total fees paid for that project. The Studio is not liable for indirect, incidental, or consequential damages.

11. Governing Law

These terms are governed by the laws of Portugal. Any disputes shall be subject to the exclusive jurisdiction of the courts of Portugal.
